1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Black Ice Labs ("Company", "we", "us", or "our") governing your access to and use of the blackicelabs.ca website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Black Ice Labs provides autonomous cognitive infrastructure solutions, including but not limited to:

• Eva ACI V4 - Autonomous Cognitive Intelligence platform
• Eva X - Social Strategy Engine
• Black Ice Sentinel - Cybersecurity solutions
• Consulting and implementation services
• Technical documentation and resources

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

4. User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information
• Use the Services only for lawful purposes
• Not interfere with or disrupt the Services or servers
• Not attempt to gain unauthorized access to any systems
• Not use the Services to transmit harmful code, spam, or malicious content
• Not violate any applicable laws or regulations
• Not infringe upon the intellectual property rights of others

5. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and underlying technology, are the exclusive property of Black Ice Labs or its licensors and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include:

• The right to copy, modify, or distribute our content
• The right to use our trademarks without permission
• The right to reverse engineer or decompile our software
• The right to create derivative works based on our content

6. Confidentiality

If you receive any confidential information through your use of our Services or through communications with us, you agree to maintain the confidentiality of such information and not disclose it to any third party without our prior written consent.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• The results obtained from using the Services will be accurate or reliable

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACK ICE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any other intangible losses

Our total liability shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Black Ice Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit or transmit through the Services

10. Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by Black Ice Labs. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Your use of third-party websites or services is at your own risk and subject to their respective terms and conditions.

11. Termination

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@blackicelabs.ca. We will attempt to resolve the dispute through good faith negotiations within thirty (30) days.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and Black Ice Labs regarding the use of our Services.
